Every year, the AGOA (or Ordinary Annual General Meeting) allows the partners to approve the accounts for the past financial year and to decide how to allocate the results. Approval of the accounts is only possible at the Ordinary General Meeting, which must be held no later than 6 months after the end of the company's financial year, which lasts 12 months. The managing director must send a registered letter with acknowledgement of receipt at least fifteen days before the date set for the Ordinary General Meeting. At this meeting, the shareholders vote on: the approval, rejection or adjustment of the accounts the distribution of dividends, if any, and the arrangements for their payment In the case of a limited liability company (SARL), the AGM is used to give discharge to the manager for the performance of his management duties, and to ratify agreements between the company and the manager or a shareholder. If the accounts are rejected, the manager has the same period in which to file a copy of the resolution refusing to approve the accounts.
