What is a liberal collaboration contract?
Liberal collaboration is a mode of professional practice exclusive of any relationship of subordination whereby a lawyer devotes part of his activity to the firm of one or more lawyers.
The challenges of liberal collaboration
The method of remuneration for self-employed lawyers :
A associate lawyer is subject to the self-employed persons' regime: he pays his social security contributions and is subject to the tax regime for non-commercial profits (BNC). In practice, the associate lawyer works for a law firm that pays him retroactive fees every month, whereas the law firm pays a salary to the staff lawyer.
The subordination relationship :
A staff lawyer The liberal lawyer must not have a subordinate relationship. He must have the time to develop his personal clientele, unlike the salaried lawyer who is not allowed to develop his clientele. If the associate lawyer can prove a relationship of subordination and the absence of time to develop his personal clientele, he will be able to have his contract reclassified as astaff lawyer liberal in contract of employment.
Declarative procedures for collaborating lawyers when setting up their activity:
When setting up their own business, the staff lawyers have a number of steps to take:
- Registering with URSAFF
- Joining the social security system for the self-employed
- Fill in the ACCRE form (Aide aux Chômeurs Créateurs ou Repreneurs d'Entreprise) to benefit from an exemption from social security and health insurance contributions for the first 12 months of activity for income below 120% of the SMIC
- Joining the CNBF (French Bars' Pension Fund)
- Open a business account
- Joining an AGA
- Choosing an accountant
Accounting requirements for an associate lawyer:
The staff lawyers are liberal professionals and, as such, must comply with certain accounting obligations which vary according to their legal status and their income tax regime. These obligations will be different if the collaborating lawyer falls under the controlled declaration regime or the micro-BNC regime.
