Welcome to Legal Pilot!

Legal Pilot is a software editor. The company was co-founded by two law firms from Lyon: MAGS and SHIFT.

Legal Pilot is a SaaS software for document automation, with an optional proofreading process, intended for legal professionals in the broad sense. After having increased and secured the access to its frames, the writer can delegate the drafting of documents to collaborators, operational staff, trainees or even to the clients themselves, by sending them a link to a questionnaire.

The access to the Site and the use of the Application by the Users are subject to the present General Conditions of Use. Legal Pilot invites all Users to read them carefully. If the User does not agree with the terms of the Conditions, he/she is strongly advised not to use the Site.

 

 

DEFINITIONS

The following definitions in the singular shall also apply to the plural, and vice versa, depending on the context.

Application LEGAL PILOT" refers to the LEGAL PILOT web application available on the Site which allows access to the Services.

General Conditions "or " Conditions The term "Terms of Use" refers to the present terms of use applicable to all Users of the Site.

"ContentThe term "intellectual property" refers to elements of a textual, graphic or audiovisual nature that may be protected under French law.

"Document The term "document" means any document generated from a Template that can be downloaded by the User through the Application.

Data Information" means any information, personal data or not, directly or indirectly related to a User and collected by Legal Pilot in the context of the use of the Services by the User.

Legal Pilot "refers to SAS Legal Pilot.

Identifiers The term "password" refers to the combination of email address and password provided by the User when registering on the Application and enabling him/her to download a Document.

Share Link "Any link made accessible by Legal Pilot on the Site or by any other means (notably but not only by e-mail, presentation leaflets, prospectus) to a User allowing him to access a Model.

Model The term "survey" refers to a customisable matrix accessible to the User via a Share Link and comprising one or more questionnaires consisting of one or more questions.

Services The term "Documents" refers to the various functionalities offered (including but not limited to access to Templates, generation and uploading of Documents) by the Application to Users.

Website "shall mean the LEGAL PILOT website, the main address of which is www.legal-pilot.com and all associated sites linked to www.legal-pilot.com by LEGAL PILOT and its affiliated distributors, worldwide. The Site includes the Application and all of its components (including software and web pages, including source and object code programs, domain names, preparatory design work, specifications and preliminary studies, user documentation, database), graphic design (including projects, models, prototypes and plans), content (including textual, graphic, sound, photographic and multimedia elements) and functionalities, as well as all related rights.

User "means any natural person accessing the Site by following a Sharing Link issued by Legal Pilot.

 

ARTICLE 1. ACCESS TO THE SITE

The Site is accessible at https://www.legal-pilot.com

 

ARTICLE 2. SYSTEM REQUIREMENTS

The Site runs on Mac and Windows.

In order to take full advantage of the use of the Site, the User is advised to keep his/her operating system (OS) up to date and to use an up-to-date version of his/her internet browser.

For optimal use of the Site, the User is advised to use Chrome or Edge browsers.

In the absence of alignment with these recommendations, the User is exposed to access only a degraded version of the Site for which Legal Pilot cannot be held responsible.

 

ARTICLE 3. ACCESS TO SERVICES - IMPORTANT NOTICE

The User arrived on the Application by clicking on a Share Link issued by Legal Pilot.

The User then has access to a Template which he/she is invited to complete.

Access to the Services and Templates is restricted to human users invited via a hyperlink.

 

ARTICLE 4: IDENTIFICATION ON THE APPLICATION

When the User accesses the Services in the manner described in Article 3 hereof and, after completing the questionnaire, wishes to download a Document, he/she must identify himself/herself or register on the Application.

If the User is already registered on the Application, he/she just needs to click on the "Identification" button located on the top right-hand side of the questionnaire and to enter his/her Identifiers.

If the User is not registered on the Application, he/she can open the registration module by clicking on the "Registration" tab located at the top right of the questionnaire and follow the registration procedure described in Article 5 of these Terms.

ARTICLE 5. REGISTRATION ROUTE

After clicking on the "Register" button mentioned in the previous article, the https://app.legal-pilot.com opens.

The User must follow the following steps:

Enter an email address in the field provided;

Choice of a password and confirmation. The password must contain at least 8 characters and must be composed of at least one upper case letter, one lower case letter, one number and one special character;

Indication of first and last name ;

Reading and acceptance of these Terms

Following registration on the Application, the User will receive a confirmation email at the address indicated during the registration process.

The Identifiers of the User are strictly personal. The User must not sell, transfer or lend them to anyone without the express written consent of Legal Pilot.

If the User loses his/her password, he/she can open the recovery module by clicking on the "forgotten password" link under the password field.

ARTICLE 6: GENERATING A DOCUMENT

By accessing Legal Pilot's services in the manner described in article 3 of the present document, the User accesses a Model.

By answering the questions, the User will be able to generate a Document adapted to his/her situation - arranged according to the answers given to the different questions.

As a matter of principle, the User may answer the questionnaires and questions in the order of his/her choice.

However, few questionnaires follow a linear progression. Most of them can evolve according to the answers given in order to adapt to the user's situation. It is therefore recommended to answer the questions in the order displayed.

To download the Document once all the answers have been provided, the User must log in or register. The download procedures are detailed in Article 7.

ARTICLE 7: DOWNLOADING A DOCUMENT

Once the Document has been generated and, if the Model provides for it, the User will be able to download the Document: directly or after review and validation, according to Legal Pilot's choice.

In any case, the Document can only be downloaded if the User is registered or logged in to the Application.

7.1. In "Autopilot" mode

In Autopilot mode, the User will be able to download the Document immediately after its generation.

However, in order to download a Document, the User must be connected to the Application in accordance with the procedures set out in Article 4. 

7.2. In "Copilot" mode

In Copilot mode, the User can only download the Document after Legal Pilot has reviewed and validated it.

The User will receive an email at the email address provided during registration informing him/her that the Document is validated and ready to be downloaded.

ARTICLE 8: EVOLUTION OF THE PLATFORM

Legal Pilot is free to evolve the functionalities and Services of the Application without prior information of the User insofar as this does not generate any degradation of the service nor any loss of Documents or functionality (non-regression).

In the hypothesis that an evolution of the Application obliges the User to update his browser, he will be warned beforehand or at the first connection to the new version of the Application. If the User refuses this update, Legal Pilot cannot be held responsible for the anomalies resulting from it.

 

ARTICLE 9: INTELLECTUAL PROPERTY

9.1. Ownership of the Site

Legal Pilot is and remains the exclusive owner of the intellectual property rights on the Site, its contents and all its components.

Apart from the rights granted in this article "Intellectual Property", these Conditions do not transfer any intellectual property rights to the Visitor.

All system licenses, databases, programming interface, hardware, storage, backup and security products related to the Site are the property of Legal Pilot.

9.2. Standard access to the Site

Unless otherwise agreed by Legal Pilot, Legal Pilot only grants the User a personal, non-exclusive, non-assignable and non-transferable right of access to the Site, for the whole duration of its use and for the whole world. This right implies an authorization given to the User to temporarily copy certain elements composing the Site for the needs of the technical process of putting them in "cache" in order to accelerate the navigation and to avoid the complete reloading of the Site during each new visit.

Unless otherwise expressly agreed by Legal Pilot, the User is strictly forbidden any other use, in particular any adaptation, modification, translation, arrangement, distribution, decompilation, without this list being limitative.

Consequently, unless otherwise provided or authorized in writing by Legal Pilot, the User is not authorized to

  • Reproduce in any form all or part of the Content.
  • Represent in any form whatsoever all or part of the Content except by means of an integral representation of the Site in full respect of its technical and informational integrity;
  • To make the Content accessible to a new audience by any means and in particular by the creation of deep internet links or "Inframe" techniques;
  • Sell, lease, license, distribute, sublicense or otherwise transfer the Site or any portion thereof to any third party;
  • Decompile, disassemble, recompile or otherwise attempt to access the source code of the Site, in whole or in part;
  • Create, develop, license, install, use or deploy third party software or services to circumvent, enable, modify or provide access, authorization or rights that violate the technical restrictions of the Site;
  • Translate, modify or create derivative works based on the Site;
  • Remove any product identification, proprietary, copyright or other notices contained in the Site.

Any User of the Site also undertakes, unless otherwise authorised herein, not to :

  • Extract, for commercial or non-commercial purposes, all or part of the Content;
  • Use a robot, in particular a spider, a search or retrieval application or any other means to retrieve or index all or part of the content of the Site and its Content, except in the case of express and prior authorization from Legal Pilot;

9.3. Distinguishing marks

The brands and distinctive signs of Legal Pilot, as well as the brands and distinctive signs of the partners of Legal Pilot are registered trademarks. Any total or partial reproduction of these marks and/or distinctive signs without the preliminary and written authorization of Legal Pilot is prohibited.

9.4. Property of the Model

Legal Pilot is and remains the exclusive owner of the intellectual property rights on the Site and all its components.

Apart from the rights granted in this article "Intellectual Property", these Conditions do not transfer any intellectual property rights to the User.

All system licenses, databases, programming interface, hardware, storage, backup and security products related to the Site are the property of Legal Pilot.

The User acknowledges that the structure, organization and source code of the Site are important trade secrets of Legal Pilot.

No assignment, license, concession, intellectual property right, in any capacity whatsoever, is granted on the Site.

9.5. Ownership of Data

Legal Pilot is not the owner of any User Data. As such, Legal Pilot will not hold any right attached to the User's Data.

In any case, Legal Pilot is released from any responsibility as for the contents of the Data of the User, relatively to any damage or attack to the rights of thirds, and in particular to any act of counterfeit, defamation, insult and, more generally, any act constituting a misdemeanour or crime sanctioned by the French legislation in force, which could be noted in the aforementioned Data.

The User agrees to indemnify, defend and hold Legal Pilot and its subcontractors harmless, at its own expense, from and against any and all claims, losses, damages (including reasonable attorneys' fees and costs), allegations or liabilities arising out of:

  • any harm to persons or property of third parties as a result of the Data;
  • any violation of French or international laws as a result of the Data;
  • the unlawful, immoral, infringing or defamatory nature of the Data, or the alleged unlawful, immoral, infringing or defamatory nature of the Data.

However, Legal Pilot reserves the right to process User Data in an aggregated and anonymized manner in order to refine and improve its Services.

 

ARTICLE 10. PERSONAL DATA

The User is invited to consult the Publisher's Personal Data Protection Policy, which forms an integral part of these Conditions.

 

ARTICLE 11. LIABILITY OF LEGAL PILOT

11.1. With regard to the Data, Models and other contents published on the Site

The User may have access, via the Services, to paid or free Models.

Unless otherwise agreed between the parties, Legal Pilot cannot be held responsible for the use by the User of the Model(s) made available free of charge or for demonstration purposes, and this, more particularly as regards the legal conformity of the resulting Documents.

The User is advised that the Fee-Based Models are created on the basis of standard documents. The User is therefore warned that the Fee-Based Templates may not be suitable for his/her case and cannot be considered as legal advice or personalised services provided by a specialist lawyer. The User is therefore advised not to dispense with the advice of a specialist lawyer.

The User is warned that the free Models placed at his disposal by Legal Pilot on the Application cannot be considered as legal consultations. These free Templates are only valid as an example and do not exempt the User to be advised by a specialized lawyer.

11.2. Limitation of liability of Legal Pilot

Legal Pilot does not put at the disposal of the Users any material, telephone installation, terminal equipment, consumables or others. Whatever the chosen mode of connection, the costs of connection are chargeable to the User, as well as any amount, royalty, registration, tax or other charges which could be possibly required by the providers of access to the telecommunication networks connecting the Users to the Site.

Legal Pilot makes its best efforts to ensure the availability of the Site. However, Users are informed that the Site is not subject to any obligation of availability, accessibility or performance. As such, the User cannot in any case take advantage of any defect of the site which would prevent the use or would degrade the user experience.

Notwithstanding the above limitations, the Site is online 24 hours a day, 7 days a week.

Legal Pilot cannot be held responsible for any direct or indirect damage, loss or expense resulting from the use of the Site (including a Document generated via the Services), or the impossibility of using it, or from a malfunction, an interruption due to handling, technical failure of the server hosting the Site or related to an interruption of access to the Internet or for any other cause, a virus, or a line or system problem

Legal Pilot reserves the right to modify or interrupt, temporarily or permanently, the accessibility to the Site, notably for reasons of maintenance, updates or improvements or, to make their contents and/or their presentation evolve, without any notice or indemnity.

ARTICLE 12. FORCE MAJEURE

Legal Pilot excludes any responsibility on any title or legal basis whatsoever for foreseeable or unforeseeable indirect damage such as loss of earnings, commercial or financial prejudice, consequence of recourse by third parties or loss of exploitation, profit, contract, prejudice of image, immobilisation of personnel or equipment originating from or being the consequence of the use of the Services, as well as damage caused to persons or goods distinct from the object of the present Conditions.

ARTICLE 13: DISPUTE RESOLUTION

13.1. For professionals within the meaning of the introductory article of the Consumer Code

The present Conditions are governed by French law even if one of the parties is of foreign nationality and/or the contract is executed in whole or in part abroad.

In the event of any discrepancy in the interpretation of a translated version, only the French version of these terms and conditions shall be binding.

Any dispute or litigation arising from the validity, interpretation and/or execution of these terms and conditions, which the Parties are unable to resolve amicably, shall be submitted to the exclusive jurisdiction of the materially competent Court of Lyon, even in the event of multiple defendants, summary proceedings or warranty claims.

13.2. For consumers and non-professionals within the meaning of the preliminary article of the Consumer Code

13.2.1. Applicable law

These Conditions are subject to French law, subject only to the public policy provisions of the law of the State of which the User is a national.

13.2.2. Attempt at amicable resolution

All difficulties of interpretation, execution and all disputes relative to the present and more generally to the access to the Site and its use will have to be in the first place the object of an attempt of amicable resolution between Legal Pilot and the User.

13.2.3. Prior mediation

In case of persistent litigation with Legal Pilot, the User having the quality of consumer has the right to have recourse free of charge to a mediator of consumption in order to seek an amicable resolution of the litigation.

A resolution of the dispute may be sought through the European Commission's online dispute resolution platform: http://ec.europa.eu/odr

If the parties are unable to resolve their dispute amicably, the "Continuing Dispute" clause will apply.

13.2.4. Continuing dispute

In the event of a dispute persisting after mediation, the User who is a consumer may refer the matter to one of the territorially competent courts under the Code of Civil Procedure, or to the court of the place where he/she lived at the time of the conclusion of the contract or the occurrence of the harmful event, in accordance with Article R. 631-3 of the Consumer Code.

ARTICLE 14: HYPERLINKS FROM THE MODEL

The Model may contain hypertext links to sites operated by third parties. These links are provided for information purposes only.

Legal Pilot has no control over these sites and declines all responsibility for access, content or use of these sites, as well as for any damage that may result from the consultation of information present on these sites. The decision to activate these links is the full and entire responsibility of the User.
