What is a trademark license agreement?<\/h2>

The trademark license agreement<\/strong> is a contract in which one party, called the licensor<\/strong>provides the licensed<\/strong>of the products or services of its brand. This contract thus allows the licensee's relations to be framed and to establish a framework around the exploitation of these services and\/or products<\/strong>.<\/p>

Allowing a licensee to exploit its trademark implies an increase in the scope of exploitation of the trademark opening the possibility of reaching a new public<\/strong>a broader scope and greater awareness while at the same time retaining ownership<\/strong> of the said brand.<\/p>

The challenges of the brand licensing contract<\/h2>

Like the franchise agreement<\/strong>In the case of a trademark licence, the contract only implies an agreement to exploit the trademark. As there is no transfer of know-how, such a contract amounts to a property lower cost<\/strong> for the licensee and is a time saving<\/strong> for the licensor.\u00a0<\/p>

The licensor's commitment can be at different levels, the granting of an exclusive licence allows the licensee to obtain alone the exploitation rights<\/strong> of the trademark, committing the licensor not to allow other third parties to benefit from this exploitation.<\/p>

It should also be noted that in counterfeiting<\/strong>In the case of a trademark license agreement, the licensee is entitled to bring an infringement action in place of the trademark owner in the event that the owner does not exercise his rights. The licensee is also entitled to act jointly with the trademark owner.<\/p>

Finally, formalities must be carried out with the INPI (or the EUIPO for a European trademark) in the event of a change in connection with the transfer of rights to a trademark. This action makes it possible to make the licence enforceable against third parties.<\/p>

Les enjeux du contrat de licence de marque A l\u2019instar du contrat de franchise, le contrat de licence de marque ne suppose que l\u2019accord d\u2019exploitation de celle-ci. N\u2019ayant ainsi aucune transmission de savoir-faire, un tel contrat revient \u00e0 un bien moindre co\u00fbt pour le licenci\u00e9 et est un gain de temps consid\u00e9rable pour le conc\u00e9dant.\u00a0 L\u2019engagement du conc\u00e9dant peut se faire \u00e0 diff\u00e9rents niveaux, la concession d\u2019une licence exclusive permet au licenci\u00e9 d\u2019obtenir \u00e0 lui-seul les droits d\u2019exploitations de la marque, engageant le conc\u00e9dant \u00e0 ne pas permettre \u00e0 d\u2019autres tiers de b\u00e9n\u00e9ficier de cette exploitation. Notons \u00e9galement qu\u2019en mati\u00e8re de contrefa\u00e7on, le contrat de licence de marque permet au licenci\u00e9 de se pr\u00e9valoir d\u2019une action en contrefa\u00e7on en lieu et place du titulaire de la marque dans le cas o\u00f9 ce denier n\u2019aurait pas exerc\u00e9 ses droits.
